PHASE III TRIAL OF RENOVIS, ASTRAZENECA'S CEROVIVE FOR ISCHEMIC STROKE SHOWS MIXED RESULTS IN REDUCING DISABILITY ------------------------------------------------------------------------------- Renovis Inc. said the first analysis from a trial of Cerovive (NXY-059), its investigational neuroprotectant licensed to AstraZeneca Plc, met the primary outcome of reducing disability in acute ischemic stroke patients by one measure, but it failed to do so when measured by the National Institutes of Health Stroke Scale (NIHSS).

In the Phase III trial, known as Saint I, more than 1,700 patients were randomized to either Cerovive or placebo. Measured by the Modified Rankin Scale, results showed the drug reduced disability following an acute ischemic stroke. However, when measured by the NIHSS, the drug did not show a significant difference in neurological impairment as compared with placebo.

AstraZeneca plans to file for regulatory approval of Cerovive in the second half of 2006, based on the outcome of final data from continuing trials, Saint II and CHANT (Cerebral Hemorrhagic and NXY-059 Treatment).

The companies will continue Saint II and CHANT as planned, Renovis said. Renovis contends that Cerovive's full potential will only be evident after the clinical development program is completed.

The Saint II trial is intended to assess the efficacy and safety profile of Cerovive in acute ischemic stroke patients.

CHANT is a Phase IIb, double-blind, placebo-controlled, randomized trial. It is intended to evaluate the tolerability and safety of Cerovive in adult patients with acute intracerebral hemorrhage.

"There are very few products in this area . . . but it's going to be very difficult to show absolute efficacy for it (Cerovive)," Navid Malik, an analyst at Collins Stewart told Reuters.

Shares of Renovis closed at $13.17, up $6.38, or 93.96 percent, in heavy trading on the Nasdaq. AstraZeneca shares closed at $45.06, up $0.44, or 0.99 percent, in moderate trading on the New York Stock Exchange. -=-

GENZYME TO ACQUIRE BONE CARE INTERNATIONAL FOR APPROXIMATELY $600 MILLION ------------------------------------------------------------------------------- Genzyme Corp. and Bone Care International Inc. signed an all-cash merger agreement, allowing Genzyme to acquire Bone Care for approximately $600 million, or $33 per fully diluted share, net of Bone Care's $119 million cash.

Genzyme said it will incorporate Bone Care into its own renal operations in the United States and expects to close the merger in the third quarter of the year. Genzyme said the transaction is expected to be neutral in 2005 and accretive thereafter.

Under the merger, Genzyme will acquire Bone Care's Hectorol (doxercalciferol), a vitamin D2 pro-hormone product that can be used along with Genzyme's Renagel (sevelamer hydrochloride) and other phosphate binders, for secondary hyperparathyroidism in dialysis patients. Sales of Hectorol climbed to $59 million for the nine-month period ended March 31, the companies said.

Genzyme will work with regulators to register Hectorol outside the United States, primarily focusing on Europe and Asia.

"This transaction provides a great strategic opportunity for Genzyme to expand our renal business further, and to raise the visibility of both product lines with nephrologists and renal patients throughout the world," said John Butler, president of Genzyme Renal.

On April 26, Bone Care increased its revenue guidance to between $82 million and $83 million for the fiscal year ending June 30, 2005. -=-

WELLPOINT TO ACQUIRE LUMENOS FOR APPROXIMATELY $185 MILLION ------------------------------------------------------------------------------- WellPoint Inc. entered into a definitive agreement to acquire Lumenos Inc., a company that specializes in consumer-driven health programs, for approximately $185 million in cash.

According to WellPoint, Lumenos offers health savings account plans and health reimbursement account plans, two popular examples of consumer-driven health plans.

Lumenos serves approximately 214,000 members and is expected to post full-year 2005 operating revenue of $45 million.

"The strength of Lumenos' sales and service experience with consumer-driven health plans, consumer tools and existing base of clients and consumers, coupled with WellPoint's extensive networks, medical management expertise and customer base will create a clear distinction in the marketplace," WellPoint stated.

"This acquisition also enables WellPoint to offer our customers more innovative solutions to drive health care consumerism through new products, online tools and information," said Larry Glasscock, WellPoint's chief executive officer.

The transaction--which is expected to close in the second quarter of this year--will not impact WellPoint's 2005 earnings-per-share guidance, the company said.

WellPoint shares closed at $131.16, up $1.18, or 0.91 percent, in heavy trading on the New York Stock Exchange. -=-

FDA GRANTS ORPHAN DRUG DESIGNATION TO LORUS' LEUKEMIA TREATMENT ------------------------------------------------------------------------------- Lorus Therapeutics Inc. reported that the Food and Drug Administration granted an orphan drug designation to its experimental drug, GTI-2040, for the treatment of acute myeloid leukemia (AML).

In conjunction with the U.S. National Cancer Institute, Lorus is investigating the drug in combination chemotherapy in a Phase II trials program for AML, breast, lung, prostate and colon cancers and "a variety of solid tumors."

The company said GTI-2040 is an antisense drug that targets the R2 component of ribonucleotide reductase, a necessary part of DNA synthesis and cell proliferation. According to Lorus, R2 is also referred to "as a malignant determinant that is elevated in a wide range of tumors and, through deregulation, can cooperate with . . . oncogenes to enhance tumor growth and metastatic potential."

AML has the lowest five-year survival rate of any form of leukemia, Lorus said.

A recently completed Phase II study evaluated GTI-2040 in combination chemotherapy for the treatment of renal cell carcinoma, a condition for which the drug candidate previously received an orphan drug designation. -=-

CEPHALON 2005 Q1 REVENUE UP 30 PERCENT; Q2 GUIDANCE BELOW ANALYSTS' EXPECTATIONS ------------------------------------------------------------------------------- Cephalon Inc. posted a 30 percent increase in first-quarter 2005 revenue as sales of its cancer pain drug, Actiq (oral transmucosal fentanyl citrate), increased by 45 percent.

For the first quarter of 2005, net income totaled $26.7 million, or $0.44 per diluted share, compared with $21.7 million, or $0.36 per diluted share, in the same period of the previous year.

Excluding charges, Cephalon earned $0.59 per diluted share. On average, analysts polled by Thomson First Call expected the company to earn $0.52 per share.

Cephalon reported revenue of $280 million, up from $215 million in the first quarter of 2004.

The company recognized sales of $266.6 million, up 27 percent from $210.4 in the prior-year period. U.S. and European sales of Actiq were $101.9 million, compared with $70.2 million last year; sales of Cephalon's narcolepsy drug, Provigil (modafinil), grew 6 percent to $100.1 million.

Actiq, Provigil and Gabitril (tiagabine hydrochloride), an epilepsy drug, all achieved double-digit prescription growth in the Unites States compared with the first quarter of 2004.

Cephalon reiterated its 2005 earnings and sales guidance. However, the company now expects Gabitril sales to decrease by $30 million, to between $80 million and $90 million, and for miscellaneous sales to increase by $30 million to between $140 million and $155 million.

For the second quarter, the company expects diluted adjusted earnings per share of $0.55 to $0.60 and sales between $280 million and $290 million. Analysts had forecast second-quarter earnings per share of $0.65 and sales of $309 million, Dow Jones Newswires reported.

Cephalon shares closed at $44.51, up $0.25, or 0.6 percent, in heavy trading on the Nasdaq. -=-

DRUG INDUSTRY SPONSORING FEWER CLINICAL TRIALS, ESPECIALLY IN THE UNITED STATES, STUDY SHOWS ------------------------------------------------------------------------------- The number of drug industry-sponsored clinical trials and drug industry-employed principal investigators leading clinical trials in the United States has fallen in recent years, according to a study conducted by the Tufts University Center for the Study of Drug Development (CSDD).

The Tufts CSDD analyzed information collected by the Food and Drug Administration, including data regarding board-certified physicians who were hired by pharmaceutical firms to conduct clinical trials between 1977 and 2004.

Results showed the number of drug industry-sponsored clinical trials expanded throughout the 1990s, but leveled off in 2000 and started to drop after 2002. Study author Kenneth Getz told The Washington Post this drop-off was largely because trials entering their final phase were being cancelled.

Between 2001 and 2003, the number of FDA-approved investigational drug studies in any phase rose from 3,900 to 4,500, but the number of American sites where clinical trials were underway fell from approximately 51,000 to 48,000, The Post reported. Similarly, there were 25,000 U.S. principal investigators in 2001 as compared with less than 21,000 by 2003. By 2000, half of all principal investigators decided never to conduct another clinical trial.

In other words, the number of principal investigators who were leading clinical trials in the United States dropped 11 percent, while the number of those working on FDA-approved trials in foreign countries increased 8 percent.

"The big message here is that the decline in principal investigators is not solely a function of the short-term decline in clinical projects," Getz told The Post. "If we continue to see this in the longer term, it could diminish our ability to innovate."

Moreover, according to The Post, the study found that out of all board-certified physicians, only 3 percent are principal investigators. Plus, the proportion of female principal investigators to male ones is steadily dropping and is far below the ratio of female-to-male board-certified physicians.

Finally, between 1994 and 2004, the cheaper southern states gained more than 40 percent of the nation's principal investigators, while the proportion of principal investigators working in the more expensive Northeast fell from 23 percent to 19 percent of the nation's total, The Post reported.

SCHERING-PLOUGH CORP. ------------------------------------------------------------------------------- Schering-Plough Corp. plans to integrate its West Coast research facilities into a new biopharmaceuticals unit, Schering-Plough Biopharma, that will be charged with biologics research and development. Schering-Plough will close its Canji Inc. research facility located in San Diego and will integrate it with its DNAX Research Institute Inc. laboratories in Palo Alto, Calif. Full-time employees at the Canji facility will be offered positions at the DNAX location. Schering-Plough expects to complete the integration by the end of the third quarter of 2005. -=-

CURIS INC. ------------------------------------------------------------------------------- Curis Inc. said an Investigational New Drug application for a topical basal cell carcinoma treatment submitted by its development partner Genentech Inc. received acceptance from the Food and Drug Administration. The acceptance allows Genentech to begin Phase I clinical trials with the drug candidate, which is a Hedgehog signaling pathway antagonist discovered by Curis. Under the development agreement, the two companies will share U.S. development costs for the product, along with any future net profits from U.S. sales. The agreement applies only to the U.S. marketplace and includes any additional indications of the product. If specific development objectives are met, Curis will be eligible to receive milestone payments and royalties on international sales. -=-

FRESENIUS MEDICAL CARE AG ------------------------------------------------------------------------------- Fresenius Medical Care AG, a dialysis provider based in Bad Homburg, Germany, entered into a definitive agreement to acquire U.S. dialysis company Renal Care Group Inc. for approximately $3.5 billion, or $48 per share, in cash. Fresenius said it plans to complete the acquisition by the second half of 2005, and it anticipates it being neutral to slightly accretive to its earnings next year and clearly accretive in 2007 and beyond. The acquisition will increase Fresenius' U.S. market share to approximately 35 percent from its current market share of 27 percent, Ben Lipps, chief executive officer of Fresenius, told The Wall Street Journal. Renal Care stock closed at $45.70, up $6.40, or 16.3 percent, while Fresenius stock closed at $26.05, down $0.54, or 2 percent, both in heavy trading on the New York Stock Exchange. -=-

CIGNA CORP. ------------------------------------------------------------------------------- Cigna Corp. reported first-quarter 2005 net income of $436 million, or $3.28 per diluted share, up from $68 million, or $0.48 per diluted share, in the prior-year period. Revenue fell approximately 8 percent to $4.35 billion in part because of lower membership in the company's health care plans. Cigna currently expects second-quarter and full-year 2005 diluted earnings per share between $1.35 and $1.55 and between $6.40 and $6.90, respectively. Cigna shares closed at $96.77, up $2.32, or 2.5 percent, in heavy trading on the New York Stock Exchange. -=-
